Terms and Conditions for Purchase of Hemp Carbon Credits from Tao Climate

These terms and conditions (“Agreement”) govern the purchase of Hemp Carbon Credits (“Hemp Carbon Credits”) from Tao Climate (“Seller”) by the purchaser (“Buyer”). By proceeding with the purchase, the Buyer agrees to be bound by these terms and conditions.

Hemp Carbon Credits:

  1. The Hemp Carbon Credits represent the reduction of carbon dioxide (CO2) emissions achieved through the cultivation and use of industrial hemp by the Seller or the Seller’s partners.
  2. The Hemp Carbon Credits are measured in metric tons of CO2 equivalent (tCO2e).
  3. Where possible, the Hemp Carbon Credits are verified and certified by recognised third-party organisations according to internationally accepted standards.

Purchase and Delivery:

  1. The Buyer agrees to purchase a specific quantity of Hemp Carbon Credits from the Seller at an agreed-upon price.
  2. The delivery of the purchased Hemp Carbon Credits will be made in electronic form, typically through a digital certificate or equivalent documentation.
  3. The Seller will provide the necessary documentation and information regarding the origin, methodology, and certification of the Hemp Carbon Credits, and the purchaser will be registered in an open and transparent Registry.
  4. The Hemp Carbon Credits are non refundable as changes to the Registry cannot be made.

Pricing and Payment:

  1. The price per tCO2e of Hemp Carbon Credits will be agreed upon between the Buyer and Seller.
  2. Payment for the purchased Hemp Carbon Credits shall be made by the Buyer to the Seller in the agreed currency within the specified timeframe.

Ownership and Use:

  1. Upon full payment, the Buyer obtains ownership and the right to use the purchased Hemp Carbon Credits for their stated purposes.
  2. The Buyer acknowledges that the Hemp Carbon Credits are intangible assets and do not confer any ownership or control over physical property or assets owned by the Seller.

Representations and Warranties:

  1. The Seller represents and warrants that the Hemp Carbon Credits are valid, genuine, and in accordance with applicable laws and regulations.
  2. The Seller further represents that the Hemp Carbon Credits have not been double-counted, sold, or transferred to any other party.
  3. The Buyer acknowledges that the Hemp Carbon Credits are subject to market and regulatory risks and that their value may fluctuate over time.

Liability and Indemnification:

  1. The Seller shall not be liable for any direct, indirect, or consequential damages arising from the use or purchase of the Hemp Carbon Credits, except in cases of wilful misconduct or gross negligence.
  2. The Buyer agrees to indemnify and hold the Seller harmless from any claims, liabilities, losses, or expenses arising out of or related to the Buyer’s use or sale of the Hemp Carbon Credits.

Governing Law and Jurisdiction:

  1. This Agreement shall be governed by and construed in accordance with the laws of the Republic of Ireland, European Union.
  2. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located in the Republic of Ireland, European Union.

Entire Agreement:

This Agreement constitutes the entire agreement between the Buyer and Seller regarding the purchase of the Carbon Credits and supersedes any prior agreements, understandings, or representations, whether written or oral.

By proceeding with the purchase, the Buyer acknowledges that they have read, understood, and agreed to these terms and conditions.
